The Company Secretary’s role to a Board of Directors is one of considerable importance especially during challenging times. Every company must have a Secretary and the Secretary is charged under the Companies Act with a number of specific legal duties. The Company Secretary is also the officer to whom everyone turns for guidance on corporate transactions concerning shares and shareholders and the person responsible for ensuring a proper record of these transactions is kept.
