The Company Secretary’s role is one of considerable importance in any company, big or small. The Company Secretary plays a key role in promoting good governance practices by the board of directors and is charged under the Companies Act with a number of specific legal duties. The Company Secretary is also the officer to whom everyone turns for guidance on corporate transactions concerning shares and shareholders and the person responsible for ensuring a proper record of these transactions is kept.

It is therefore imperative that the role and its responsibilities of the Corporate Secretary are well understood. As well performed, the role facilitates efficient and effective meetings and decision-making and ensures adherence to best corporate governance practices.

This training will provide those aspiring or new to the role with a solid grounding in the requirements of the position also ensuring that participants are familiar with best practice corporate governance and how best to provide guidance and support in these practices. This workshop will also serve as a refresher for those with some experience in the role and also explore some of the more recent developments and challenges through the sharing of information and experiences.

Workshop 1: The Role of the Company Secretary: Core Responsibilities
This one-day workshop will provide participants with an understanding of the basic responsibilities of the role of the company secretary, understand the role of the corporate constitution and develop checklists and form banks for carrying out routine functions.

This workshop is ideal for the Company Secretary whom everyone turns to for guidance on corporate transactions concerning shares and shareholder and the person responsible for ensuring a proper record of these transactions is kept.

Workshop 2: The Role of the Company Secretary: The Governance Role
This workshop will allow participants to demonstrate an understanding of the role of the corporate governance in corporate management, provide guidance to management and the board of directors on corporate governance matters. Participants will explore the preparation of key corporate governance support tools such as: Corporate Governance Charter, Board Policies, Board induction, training and evaluation and the Corporate Governance Report.
